Terms of Service & Subscription Terms

1. Agreement

These terms govern your use of TOD-OPS. By creating an account or subscribing you agree to them.

2. Subscriptions & billing

Paid plans and add-on modules are billed in advance on a recurring basis (monthly or annually) via Stripe. Prices are shown at checkout. Fees are exclusive of VAT unless stated.

3. Trials

Free trials, where offered, convert to a paid subscription at the end of the trial unless cancelled beforehand.

4. Add-on modules

Optional modules (e.g. Type on Tickets, Tenders & Grants, E-signatures) are charged in addition to your base plan and can be added or removed; removal takes effect at the end of the current billing period unless stated otherwise.

5. Cancellation & refunds

You may cancel at any time; access continues until the end of the paid period. Except where required by law, fees already paid are non-refundable.

6. Failed payments

If a payment fails we may retry it and will notify you. Continued non-payment may lead to suspension or termination of the subscription.

7. Acceptable use

You must not misuse the platform, breach others' rights, or upload unlawful content. You are responsible for the accuracy and legality of data you enter, and for maintaining the confidentiality of your login.

8. E-signatures

Documents you send for electronic signature are your responsibility; we provide the tooling but are not a party to your agreements and give no advice on their validity.

9. Availability & liability

The service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, our aggregate liability is limited to the fees paid by you in the 12 months before the claim. Nothing limits liability that cannot be limited by law.

10. Data protection

Our processing of personal data is described in the Privacy Policy and, where we act as your processor, the Data Processing Agreement.

11. Governing law

These terms are governed by the laws of England and Wales.
